Ticklish Terms of Service

1. Eligibility

To use Ticklish, you must:

• Be legally allowed to enter into binding agreements in your jurisdiction.
• Use the service only for lawful purposes.

2. Your Account

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• Any activity that takes place under your account.
• Providing accurate and current information when creating an account.

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms.

3. Content Upload and Listings

You may upload digital content (e.g. tickets, documents, files, images, PDFs, ZIPs) for sale or access. By uploading content, you confirm:

• You have the right to sell or distribute the content.
• The content does not violate any laws or third-party rights.
• You grant Ticklish a limited, non-exclusive, worldwide, royalty-free license to host, store, and deliver your content solely to facilitate transactions.

Ticklish does not verify the authenticity, accuracy, or legality of user-submitted content and is not liable for any content posted by users. We reserve the right to remove any content at our discretion.

4. Payments and Fees

• Ticklish uses Stripe to process payments.
• A service fee is deducted from each transaction. This fee will be clearly disclosed before any purchase is completed.
• Ticklish does not hold funds, act as an escrow service, or intervene in payment distribution beyond what is handled through Stripe.

5. Refunds and Disputes

• All transactions on Ticklish are between the buyer and the seller.
• Ticklish does not facilitate or guarantee refunds or returns.
• Buyers and sellers must communicate directly to resolve disputes or requests for refunds.
• Ticklish may, at its sole discretion, intervene in cases of platform abuse or clear fraud, but has no obligation to do so.

6. Prohibited Content

You may not upload or sell:

• Content that infringes intellectual property rights.
• Fraudulent, misleading, or deceptive content.
• Personal data or confidential information without consent.
• Malware, viruses, or any harmful code.
• Unlawful or otherwise inappropriate material.

We reserve the right to remove or block content that we believe violates these guidelines or applicable law.

7. Acceptable Use

You agree not to:

• Interfere with or disrupt the platform's normal operations.
• Use automated systems (e.g. bots, scrapers) to access Ticklish without our express permission.
• Impersonate any individual or entity.
• Violate any applicable laws or regulations.
• Attempt to bypass security measures or gain unauthorized access to any part of Ticklish.

8. Platform Changes

Ticklish may update, modify, suspend, or discontinue any aspect of the platform at any time, with or without notice.

9. Limitation of Liability

Ticklish provides a platform for peer-to-peer transactions. We do not guarantee:

• The accuracy, legality, or quality of user-uploaded content.
• That users will deliver purchased items.
• That the service will be uninterrupted or error-free.

To the fullest extent permitted by law, Noted Ventures Ltd, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10. Indemnity

You agree to indemnify and hold harmless Noted Ventures Ltd, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising out of:

• Your use of Ticklish.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you upload or sell through the platform.

11. Intellectual Property & Takedown Requests

If you believe your intellectual property rights have been infringed by content on Ticklish, you may submit a takedown request to our designated contact. Ticklish will review the request and may remove the infringing content at our discretion.

12. No Warranty

Ticklish is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will meet your expectations or be error-free.

13. Privacy

The collection and use of personal data are governed by our Privacy Policy, which you must accept in order to use Ticklish.

14. Account Termination

We may suspend or terminate your account at any time, without notice or liability, if we believe you have violated these Terms. You may delete your account at any time from your account settings.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.
